Wholesale Terms and Conditions

Thank you for your interest in becoming a wholesale partner with BioClinical Science. By completing our wholesale registration form and submitting your application, you agree to the following terms and conditions:

1. Eligibility

To qualify as a wholesale customer, you must operate a valid retail business, provide a valid resale certificate or business license, and comply with all applicable local, state, and federal regulations.

2. Minimum Order Requirements

All wholesale orders must meet a minimum purchase amount of [insert amount] per order. BioClinical Science reserves the right to modify this minimum at any time.

3. Pricing

Wholesale pricing is confidential and intended for the sole use of approved wholesale customers. Prices are subject to change without notice. Any changes will be communicated prior to your next order.

4. Payment Terms

All orders must be prepaid via credit card, wire transfer, or another approved payment method unless otherwise agreed in writing. No orders will be processed or shipped until payment is received in full.

5. Shipping

BioClinical Science offers shipping to all 50 states. The customer is responsible for all shipping and handling costs unless otherwise specified in a promotion or agreement. Any delivery dates provided are estimates and not guaranteed. Delays or damages during shipping are the responsibility of the shipping carrier, not BioClinical Science.

6. Returns and Refunds

BioClinical Science accepts returns of unopened and undamaged products within 30 days of purchase. Refunds or exchanges will be processed once returned items are received and inspected. Shipping fees are non-refundable, and return shipping is the responsibility of the customer unless the return is due to a BioClinical Science error.

7. Resale and Advertising

You may resell BioClinical Science products through your approved retail channels. Online sales are permitted, but any representation of BioClinical Science products must not mislead or misrepresent the nature of the product or company. Resale pricing must comply with any established minimum advertised price (MAP) policies if applicable.

8. Termination of Agreement

BioClinical Science reserves the right to terminate or suspend your wholesale account at any time for violations of these terms or any unlawful or unethical business practices.

9. Limitation of Liability

BioClinical Science shall not be liable for any indirect, special, incidental, or consequential damages resulting from the sale, use, or inability to use our products. In no event shall our liability exceed the purchase price of the products sold.

10. Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law provisions.
